1. Introduction and Acceptance of Terms

Welcome to ABRAM Network ("ABRAM," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the ABRAM Network platform, including our website, mobile applications, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and ABRAM Network. Please read them carefully.

2. Definitions

  • "Client" means any individual or entity that uses the Platform to post projects, search for contractors, or hire creative talent.

  • "Contractor" means any individual or entity that uses the Platform to offer creative services, respond to project opportunities, or provide work to Clients.

  • "User" means any Client, Contractor, or other person who accesses or uses the Platform.

  • "Project" means any creative work, job, or engagement posted by a Client and potentially assigned to one or more Contractors.

  • "Services" means all features, tools, and functionalities provided through the Platform.

  • "Content" means any text, images, videos, files, data, or other materials uploaded, posted, or transmitted through the Platform.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years of age.

3.2 Authority

If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3.3 Geographic Restrictions

The Platform is available in the United States and select international markets. We reserve the right to restrict access from certain jurisdictions.

3.4 Prohibited Users

You may not use the Platform if:

  • You have been previously banned or suspended from the Platform

  • You are prohibited from using the Platform under applicable law

  • You are a competitor seeking to copy, monitor, or undermine our Services

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information

  • Maintain and update your information to keep it current

  • Not create multiple accounts

  • Not share your account credentials with others

  • Not create an account using false or misleading information

4.2 Account Types

  • Client Accounts: For individuals and companies seeking to hire creative talent

  • Contractor Accounts: For individuals and companies offering creative services

  • Enterprise Accounts: For organizations requiring advanced features, SSO, and custom terms

4.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account credentials

  • All activities that occur under your account

  • Notifying us immediately of any unauthorized access or security breach

ABRAM is not liable for losses caused by unauthorized use of your account, whether or not you were aware of such use.

4.4 Account Verification

We may require identity verification, background checks, or additional documentation to activate or maintain your account, particularly for Contractor accounts.

5. Platform Services

5.1 Services Overview

ABRAM provides an AI-powered creative talent marketplace that:

  • Connects Clients with Contractors for creative projects

  • Analyzes project briefs using AI to extract requirements

  • Matches Clients with suitable Contractors using proprietary algorithms

  • Facilitates project management, communication, and collaboration

  • Processes payments and invoicing

  • Tracks contractor capacity and availability

  • Provides analytics and reporting tools

5.2 AI-Powered Matching

Our Platform uses artificial intelligence to:

  • Analyze project briefs and generate work packages

  • Match Contractors based on skills, availability, portfolio fit, location, and other factors

  • Provide match reasoning and recommendations

  • Estimate project hours using industry benchmarks

  • Analyze team chemistry from collaboration history

  • Optimize team composition

AI Disclaimer: While our AI systems are designed to provide accurate and helpful recommendations, they are not infallible. Clients are responsible for final hiring decisions, and Contractors are responsible for accepting or declining opportunities. ABRAM does not guarantee the accuracy, completeness, or suitability of AI-generated matches or recommendations.

5.3 Service Availability

We strive to provide reliable and continuous access to the Platform. However, we do not guarantee uninterrupted availability and may suspend or restrict access for:

  • Scheduled or emergency maintenance

  • Technical issues or outages

  • Security concerns

  • Legal or regulatory compliance

  • Violations of these Terms

5.4 Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We are not liable for any modifications, suspensions, or discontinuations.

6. User Responsibilities and Conduct

6.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not:

  • Violate any applicable laws, regulations, or third-party rights

  • Post false, misleading, or fraudulent information

  • Impersonate any person or entity

  • Harass, abuse, threaten, or intimidate other Users

  • Upload viruses, malware, or other malicious code

  • Attempt to gain unauthorized access to the Platform or other accounts

  • Interfere with or disrupt the Platform's operation

  • Use automated tools (bots, scrapers) without authorization

  • Collect or harvest User information without consent

  • Use the Platform to compete with ABRAM or develop competing services

6.2 Professional Conduct

All Users must maintain professional conduct when using the Platform. This includes:

  • Communicating respectfully and professionally

  • Providing accurate and honest information

  • Honoring commitments and agreements

  • Respecting intellectual property rights

  • Complying with applicable industry standards and regulations

6.3 Prohibited Content

You may not post, upload, or transmit Content that:

  • Is illegal, harmful, threatening, abusive, defamatory, or obscene

  • Infringes intellectual property rights or other proprietary rights

  • Contains personal information of others without consent

  • Contains viruses, malware, or other harmful code

  • Promotes discrimination, hatred, or violence

  • Is sexually explicit or exploitative

  • Violates any applicable law or regulation

6.4 Reporting Violations

If you become aware of any violations of these Terms, please report them to contact@abram.network.

7. Client-Specific Terms

7.1 Posting Projects

Clients may post Projects to the Platform by:

  • Creating a project brief describing requirements, deliverables, timeline, and budget

  • Using our AI-powered intake system to generate structured project details

  • Reviewing and approving AI-generated work packages and hour estimates

Client Representations: By posting a Project, you represent and warrant that:

  • You have the authority to enter into agreements for the Project

  • The Project does not violate any laws or third-party rights

  • All information provided is accurate and complete

  • You have obtained necessary rights, licenses, and permissions

7.2 Hiring and Engaging Contractors

  • Clients are responsible for selecting, hiring, and managing Contractors

  • ABRAM facilitates connections but does not employ Contractors or act as an employer

  • Clients must comply with all applicable employment, tax, and labor laws

  • Clients are responsible for determining Contractor classification (employee vs. independent contractor)

7.3 Payment Obligations

  • Clients agree to pay Contractors in accordance with agreed-upon terms

  • Payment processing is handled through the Platform using Stripe, QuickBooks, or other payment partners

  • Clients are responsible for all fees, including Contractor rates and Platform fees

  • Late payments may result in penalties or account suspension

7.4 Project Management

  • Clients are responsible for providing clear requirements and feedback

  • Clients must respond to Contractor communications in a timely manner

  • Clients may not request work outside the agreed-upon scope without additional compensation

  • Clients must treat Contractors professionally and respectfully

7.5 Disputes with Contractors

  • Clients and Contractors are encouraged to resolve disputes directly

  • ABRAM may assist with dispute resolution but is not obligated to do so

  • ABRAM's decision in disputes is final and binding

  • Clients may not withhold payment as leverage in unrelated disputes

8. Contractor-Specific Terms

8.1 Profile Creation

Contractors must create accurate and complete profiles including:

  • Skills, experience, and qualifications

  • Equipment and software proficiency

  • Portfolio samples and work history

  • Availability and capacity

  • Hourly rates or project-based pricing

  • Location and time zone

Contractor Representations: By creating a profile, you represent and warrant that:

  • All information is accurate, complete, and current

  • You have the legal right to work in your jurisdiction

  • You possess the skills and qualifications claimed

  • Portfolio samples are your own work or used with permission

  • You comply with all applicable licenses and certifications

8.2 Accepting Projects

  • Contractors may browse Projects, receive AI-matched recommendations, or receive direct invitations

  • Contractors are responsible for accepting or declining opportunities

  • Accepting a Project constitutes agreement to deliver the work as described

  • Contractors must honor availability commitments entered into the Platform

8.3 Work Quality and Deliverables

  • Contractors must deliver work that meets professional industry standards

  • Work must be completed within agreed-upon timelines

  • Deliverables must match Project requirements and specifications

  • Contractors must respond to feedback and revision requests promptly

  • Contractors may not subcontract work without Client consent

8.4 Independent Contractor Status

  • Contractors are independent contractors, not employees of ABRAM or Clients

  • Contractors are responsible for their own taxes, insurance, and benefits

  • Contractors must comply with all applicable tax and labor laws

  • Contractors are responsible for their own equipment, software, and workspace

8.5 Payment and Fees

  • Contractors will be paid according to agreed-upon rates and terms

  • ABRAM may charge Platform fees, which will be deducted from payments

  • Contractors are responsible for invoicing through the Platform

  • Contractors must provide accurate tax information (W-9, W-8BEN, etc.)

  • Payment timing depends on Client payment and Platform processing

8.6 Availability and Capacity Tracking

  • Contractors must maintain accurate availability and capacity information

  • Contractors agree that their availability data will be used for AI matching

  • Contractors must update availability for vacations, external commitments, or capacity changes

  • Misrepresenting availability may result in account suspension

9. Payment Terms

9.1 Platform Fees

ABRAM charges fees for use of the Platform, which may include:

  • Client Fees: Percentage of project value or subscription fees

  • Contractor Fees: Percentage of earnings or subscription fees

  • Transaction Fees: Payment processing fees

  • Enterprise Fees: Custom pricing for enterprise accounts

9.2 Payment Processing

  • Payments are processed through third-party payment partners (Stripe, QuickBooks, etc.)

  • You agree to the terms and conditions of payment processors

  • ABRAM is not responsible for payment processor errors or delays

  • Payment methods include credit cards, ACH transfers, and wire transfers

9.3 Payment Schedule

  • Contractors are paid according to milestone completion or project delivery

  • Clients may fund projects in escrow or pay upon completion

  • Payment holds may apply for new accounts or high-risk transactions

  • Refunds and chargebacks are handled according to our Refund Policy

9.4 Taxes

  • Clients and Contractors are responsible for all applicable taxes

  • ABRAM will collect and remit sales tax where required

  • Contractors must provide tax forms (W-9, W-8BEN, etc.) for payment

  • ABRAM will issue tax forms (1099-NEC, etc.) as required by law

9.5 Disputes and Refunds

  • Payment disputes must be raised within 30 days of payment

  • ABRAM may withhold payment during active disputes

  • Refunds are issued at ABRAM's discretion based on project terms

  • Clients may not dispute charges for completed and accepted work

10. Intellectual Property

10.1 ABRAM Intellectual Property

The Platform and all content, features, and functionality (including but not limited to software, algorithms, user interfaces, designs, logos, and trademarks) are owned by ABRAM Network and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the Platform

  • Reverse engineer, decompile, or disassemble the Platform

  • Remove or alter any proprietary notices

  • Use ABRAM trademarks or branding without permission

  • Frame or mirror any part of the Platform

10.2 License to Use Platform

Subject to these Terms, ABRAM grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.

10.3 User Content Ownership

You retain ownership of all Content you upload to the Platform. However, by uploading Content, you grant ABRAM a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your Content for purposes of:

  • Operating and improving the Platform

  • Providing Services to you and other Users

  • Marketing and promoting the Platform (with your consent for public-facing content)

  • Training and improving AI algorithms

10.4 Project Work and Deliverables

Unless otherwise agreed in writing:

  • Clients own all deliverables created by Contractors for Projects

  • Contractors grant Clients all necessary rights to use deliverables

  • Contractors may retain portfolio rights to showcase work (with Client approval)

  • Pre-existing materials owned by Contractors remain Contractor property unless explicitly transferred

10.5 Intellectual Property Disputes

If you believe Content on the Platform infringes your intellectual property rights, contact us at contact@abram.network with:

  • Description of the copyrighted work or intellectual property

  • Location of the infringing material

  • Your contact information

  • A statement of good faith belief that use is unauthorized

  • A statement that the information is accurate and you are authorized to act

We will investigate and take appropriate action, which may include removing Content or terminating accounts.

11. Content and Data

11.1 User-Generated Content

Users may upload, post, or transmit various types of Content, including:

  • Project briefs and descriptions

  • Portfolio samples and work examples

  • Messages and communications

  • Files and deliverables

  • Reviews and feedback

You are solely responsible for all Content you post and the consequences of posting it.

11.2 Content Review and Moderation

ABRAM reserves the right (but is not obligated) to:

  • Review, monitor, or edit Content

  • Remove Content that violates these Terms

  • Suspend or terminate accounts for violations

  • Report illegal Content to authorities

We do not pre-screen Content and are not responsible for User Content.

11.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Platform ("Feedback"), you grant ABRAM an unlimited, irrevocable license to use, implement, and commercialize the Feedback without compensation or attribution.

11.4 Data Usage for AI Training

By using the Platform, you acknowledge and agree that:

  • Your interactions and data may be used to train and improve AI algorithms

  • Project data, matching outcomes, and collaboration history inform AI recommendations

  • Data is anonymized and aggregated where possible

  • You may opt out of certain data collection through privacy settings

11.5 Data Portability

You may request export of your data in a machine-readable format by contacting contact@abram.network.

12. AI and Matching Services

12.1 AI Technology

ABRAM uses artificial intelligence and machine learning technologies to:

  • Analyze project briefs and extract requirements

  • Match Clients with Contractors based on multiple factors

  • Generate work packages and hour estimates

  • Predict project success rates

  • Recommend optimal team compositions

  • Identify potential concerns or risks

12.2 AI Limitations and Disclaimers

You acknowledge that:

  • AI recommendations are not guaranteed to be accurate or complete

  • AI cannot replace human judgment and decision-making

  • Matching algorithms are proprietary and not disclosed in detail

  • AI outputs may contain errors or biases

  • ABRAM is not liable for decisions made based on AI recommendations

12.3 Human Oversight

While AI assists with matching and recommendations:

  • Final hiring decisions are made by Clients

  • Contractors decide whether to accept opportunities

  • Users may override or ignore AI suggestions

  • Human support is available for complex situations

12.4 Algorithm Updates

We may update, improve, or modify AI algorithms at any time without notice. Such changes may affect matching outcomes, recommendations, and Platform functionality.

13. Third-Party Integrations

13.1 Available Integrations

The Platform integrates with third-party services including:

  • Project management tools (Monday.com, Asana, Notion)

  • Communication platforms (Slack, Microsoft Teams)

  • Video collaboration (Frame.io)

  • Calendar systems (Google Calendar, Microsoft Calendar)

  • Payment processors (Stripe, QuickBooks)

  • Enterprise systems (SAP Ariba, SSO providers)

13.2 Third-Party Terms

When you connect third-party services:

  • You agree to the third party's terms of service and privacy policy

  • You authorize data sharing between ABRAM and the third party

  • ABRAM is not responsible for third-party services or data practices

  • Integrations may be modified or discontinued at any time

13.3 Data Sharing

Connecting integrations authorizes ABRAM to:

  • Access necessary data from third-party services

  • Sync project data, tasks, and timelines

  • Send notifications and updates

  • Process payments and invoicing

You may disconnect integrations at any time through account settings.

14. Disclaimers and Limitations of Liability

14.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT

  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION

  • ACCURACY, RELIABILITY, OR QUALITY OF CONTENT OR SERVICES

  • RESULTS OR OUTCOMES FROM USING THE PLATFORM

14.2 No Employment Relationship

ABRAM IS NOT AN EMPLOYER, EMPLOYMENT AGENCY, OR STAFFING FIRM. WE DO NOT:

  • Employ, supervise, or direct Contractors

  • Guarantee the quality, safety, or legality of services

  • Perform background checks or verify credentials (unless explicitly stated)

  • Assume responsibility for Client-Contractor relationships

  • Act as an agent or representative of Clients or Contractors

14.3 User Relationships

Clients and Contractors are solely responsible for:

  • Evaluating each other's suitability

  • Negotiating terms and conditions

  • Entering into agreements

  • Performing obligations under agreements

  • Resolving disputes arising from Projects

14.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABRAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOST PROFITS, REVENUE, DATA, OR OPPORTUNITIES

  • SERVICE INTERRUPTIONS OR DATA LOSS

  • ERRORS, MISTAKES, OR INACCURACIES OF CONTENT

  • UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA

  • USER CONDUCT OR CONTENT

  • DAMAGES ARISING FROM USE OR INABILITY TO USE THE PLATFORM

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO ABRAM IN THE 12 MONTHS BEFORE THE CLAIM

  • $100

14.5 Basis of the Bargain

These limitations reflect the allocation of risk between you and ABRAM. The Platform fees reflect these risk allocations and the disclaimers and limitations in these Terms.

15. Indemnification

You agree to indemnify, defend, and hold harmless ABRAM and its officers, directors, employees, affiliates, agents, and partners from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Platform

  • Violation of these Terms

  • Violation of any laws or third-party rights

  • Your Content or information you provide

  • Your relationships with other Users

  • Your Projects or services provided through the Platform

  • Tax obligations or employment misclassification

ABRAM reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you will cooperate with our defense.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to contact us at contact@abram.network to attempt to resolve the dispute informally. We will respond within 30 days.

16.2 Binding Arbitration

IF THE DISPUTE CANNOT BE RESOLVED INFORMALLY, YOU AGREE THAT ANY CLAIMS WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT:

  • You may bring claims in small claims court if they qualify

  • Either party may seek injunctive relief in court for intellectual property or proprietary rights

Arbitration Rules:

  • Arbitration will be conducted by JAMS under its Comprehensive Arbitration Rules

  • Arbitration will be held in [Your jurisdiction] or remotely by mutual agreement

  • Arbitrator's decision is final and binding

  • Judgment on the award may be entered in any court of competent jurisdiction

16.3 Class Action Waiver

YOU AND ABRAM AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE THE RIGHT TO:

  • Participate in class actions, class arbitrations, or representative actions

  • Act as a class representative or member

  • Consolidate claims with other Users

16.4 Exceptions

This arbitration provision does not apply to:

  • Intellectual property disputes

  • Injunctive relief for breach of these Terms

  • Small claims court actions

  • Claims that cannot be arbitrated under applicable law

16.5 Governing Law

These Terms are governed by the laws of [Your State], United States, without regard to conflict of law principles.

17. Termination

17.1 Termination by You

You may terminate your account at any time by:

Upon termination:

  • Your access to the Platform will cease

  • Your data will be deleted per our Privacy Policy (subject to retention requirements)

  • Outstanding obligations (payments, active Projects) remain in effect

17.2 Termination by ABRAM

We may suspend or terminate your account immediately without notice if:

  • You violate these Terms

  • You engage in fraudulent, illegal, or harmful conduct

  • You pose a security or legal risk

  • Your account is inactive for an extended period

  • We discontinue the Platform

17.3 Effect of Termination

Upon termination by either party:

  • Your license to use the Platform ends immediately

  • You must cease all use of the Platform

  • ABRAM may delete your Content (subject to legal retention)

  • Provisions that should survive (payment obligations, indemnification, limitations of liability) remain in effect

17.4 No Refunds

Termination does not entitle you to refunds for fees already paid.

18. Changes to Terms

18.1 Modifications

We may modify these Terms at any time by:

  • Posting updated Terms on the Platform

  • Updating the "Last Updated" date

  • Notifying you via email or Platform notice for material changes

18.2 Acceptance of Changes

Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using the Platform and may terminate your account.

18.3 Material Changes

For material changes that reduce your rights or increase your obligations, we will provide at least 30 days' notice before the changes take effect.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms agreed upon, constitute the entire agreement between you and ABRAM regarding the Platform.

19.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

19.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. ABRAM may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

19.5 Force Majeure

ABRAM is not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or technical failures.

19.6 Notices

Notices to you will be sent to the email address associated with your account. Notices to ABRAM should be sent to contact@abram.network.

19.7 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ABRAM.

19.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.

19.9 Survival

Provisions that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive termination of these Terms.
