Acceptable Use Policy

1. Purpose and Relationship to the Terms of Use

This Acceptable Use Policy ("AUP" or "Policy") sets out specific rules for how you may and may not use the ABRAM Network platform (the "Platform"). It is incorporated by reference into the ABRAM Terms of Use and forms part of the agreement between you and Thomas Abram, LLC ("ABRAM," "we," "us," or "our").

We publish this Policy separately from the Terms of Use so that we can update specific security and safety rules, including new AI abuse patterns, as they emerge, without requiring a full renegotiation of our Terms of Use or any signed agreement. Material changes affecting your rights will be communicated in accordance with Section 19 of the Terms of Use.

If anything in this Policy conflicts with the Terms of Use, the Terms of Use control.

2. Who This Policy Applies To

This Policy applies to all users of the Platform, including organization owners, Admins, members and guests, Crew Members, Clients who use a client portal, and anyone accessing the Platform's APIs, integrations, or AI features, whether through a paid subscription or a free account. Capitalized terms not defined here have the meanings given in the Terms of Use.

3. Platform Integrity

3.1 No Unauthorized Data Harvesting

You may not scrape, crawl, harvest, or extract data from the Platform using automated tools, bots, or scripts. This includes, without limitation, crew profiles, rate sheets, availability calendars, roster contact details, client records, and any other profile information, whether your account ordinarily has access to that data or not.

3.2 No Circumventing Processing Fees

This restates Section 8.6 of the Terms of Use. The fees it protects, and how they are charged and disclosed, are set out in Section 8.7 of the Terms of Use.

You may not deliberately move a relationship formed through the Platform off-Platform for the purpose of avoiding ABRAM's processing fees, within 12 months of that relationship being formed or last engaged through the Platform. This rule exists to keep fees fair for everyone, not to prevent you from working together. If two parties mutually decide to continue their relationship outside the Platform for reasons unrelated to fee avoidance, that is not a violation of this Policy.

3.3 No Misrepresentation

You may not create accounts under false identities, misrepresent your skills, availability, day rates, or organizational affiliation, or impersonate another person or company on the Platform.

3.4 Other People's Information, Recordings and Transcripts

Much of what you put into the Platform is about other people: crew contacts, client contacts, call sheets, timesheets and call transcripts. You may only add another person's information if you have a lawful basis to do so and have given them any notice the law requires. Before you paste or upload the transcript of a call or meeting, you must have obtained any consent that applicable law requires from the people on that call to record it, transcribe it, and share it with ABRAM for processing, including by our AI providers. Some jurisdictions require the consent of every participant. The same applies to footage and sound you upload: you must have the rights and any consent the law requires to upload it and have it analyzed, including by ABRAM Vision.

3.5 Sensitive Information

You may not upload health information, information about racial or ethnic origin, religious beliefs, sexual orientation, union membership, criminal records, government identification numbers, or payment card numbers about yourself or anyone else, unless the Platform provides a field designed for that information or it is necessary for a production and you have the consent the law requires. ABRAM is not designed to hold that information and does not offer the safeguards its regulation can require.

4. AI Feature Usage Restrictions

ABRAM's AI features, including the Brief Analyzer, script breakdown, the reading of call transcripts, crew suggestions, ABRAM Vision, and the ABRAM AI Assistant, include built-in safety and accuracy controls. You may not attempt to undermine those controls. Specifically, you may not:

  • Submit prompts, files, or inputs designed to manipulate an AI feature into ignoring its safety instructions, confidence gates, or approval requirements (commonly referred to as prompt injection);
  • Attempt to extract, reconstruct, or reverse engineer the underlying AI models, system instructions, or training data used by the Platform's AI features;
  • Use bots, scripts, or other automated means to query AI features at a volume or pattern inconsistent with ordinary human use;
  • Use an AI client you connect to ABRAM (Section 10.2 of the Terms of Use) to copy data out of the Platform in bulk, to get around its rate limits, or on behalf of anyone other than you;
  • Attempt to bypass, manipulate, or falsify the metering of AI usage, including Included AI Usage, Extra Usage, and spend limits as described in Section 8.5 of the Terms of Use, or any other billing ledger control; or
  • Use crew suggestions, work profiles, ratings, or any figure the Platform derives from people's work to make or support a decision that discriminates against a person on the basis of a characteristic protected by law, or as the sole basis for a decision to hire, book, pay, or end an engagement without a person reviewing it.

5. Communication and Anti-Spam Rules

5.1 Invitation Limits

To protect the people you invite, including Crew Members and Clients, from unwanted solicitation, ABRAM applies rate limits to invitations sent through the Platform. Limits differ by the path an invitation is sent through, and the limit that applies to you is shown in the product at the point of sending, including in the message you receive if you reach one. ABRAM may adjust these limits at its discretion, may apply lower limits to accounts showing patterns of abuse, and may act under Section 7 against invitation volume or patterns that amount to unsolicited solicitation regardless of whether an automated limit was reached.

5.2 No Unsolicited Bulk Messaging

You may not use Platform messaging, project invitations, or any other communication channel to send unsolicited bulk messages, advertising, or solicitations unrelated to a genuine project inquiry.

5.3 No Off-Platform Solicitation to Avoid Fees

You may not use Platform messaging to direct another user to communicate, contract, or transact outside the Platform for the purpose of avoiding the fees described in Sections 8.6 and 8.7 of the Terms of Use.

6. Security Research and Responsible Disclosure

If you believe you have found a security vulnerability in the Platform, report it to security@abram.network before taking any further action. We acknowledge reports within 3 business days.

Good-faith security research that follows the rules in the Trust Center is authorized under this Policy, and ABRAM will not pursue legal action against it. Those rules are: test only against your own account and data, stop and report as soon as you reach anyone else's data, do not degrade the service or use automated scanning at a volume that affects other users, do not use social engineering or physical access, and keep the details private until ABRAM has fixed the issue or 90 days have passed, whichever is first. Testing outside those rules, including accessing other users' data, denial of service, or high-volume automated scanning, is a violation of this Policy.

7. Enforcement

Violations of this Policy may result in warnings, feature restrictions, suspension, or termination of your account, at ABRAM's discretion and in accordance with the Terms of Use. ABRAM may also remove content, revoke API or integration access, or take other action reasonably necessary to protect the Platform and its users. Significant violations, including fraud, data theft, or attempts to bypass billing controls, may be reported to law enforcement.

8. Reporting Violations

If you become aware of a violation of this Policy, including suspected scraping, AI abuse, or fee circumvention, please report it to legal@abram.network.

9. Changes to This Policy

ABRAM may update this Policy to address new abuse patterns, security risks, or platform features. We will post the updated Policy with a new "Last Updated" date. Material changes affecting your rights will be communicated in accordance with Section 19 of the Terms of Use.
